FREETH CARTWRIGHT’S CORPORATE DEALS TOTAL £1.5bn

Specialists in corporate finance and banking from law firm Freeth Cartwright have announced that 2007 saw them act on deals with a total value in excess of £1.5 billion.

The 12 months saw the firm, with offices in Nottingham, Derby, Leicester, Birmingham, and Manchester, complete more than 130 deals, 12 of which were in excess of £30m and three of which were in excess of £100m.

One transaction saw the €300,000,000 worldwide financing of Icelandic listed company HF Eimskipafaleg Islands, with Freeth Cartwright, led by John Heaphy, working closely with ABN Amro Bank NV and supporting Eimskip with strategic advice.

Karl Jansen, head of corporate at Freeth Cartwright, commented: “The last 12 months have seen the corporate team complete a large number of high value transactions. • Orchard Care Homes.com (Philip Raven and Paul Richardson) Lawyers to LNT Group on the MBO of Orchard Care Homes.com £175,000,000

• Construction Learning World Limited (Karl Jansen and Nicole Joynson) Lawyers to the selling shareholders on their sale to Melorio Plc £35,000,000

• Cardsave Holdings (John Heaphy and Manjit Virk) Lawyers to Lloyds TSB Acquisition Finance on its exit and exercise of equity warrant £70,000,000

• Hitwise Inc (Karl Jansen and Nicole Joynson) UK lawyers to Experian Marketing Solutions Inc on its acquisition of Hitwise Inc $240,000,000

 • TransLinc Limited (Mike Copestake and Jenny Eades) Lawyers to management and other shareholders on a BIMBO backed by RJD Partners £50,000,000

• Nylacast Components (David West) Lawyers to Nylacast Limited on the sale of its components business to an MBO team £30,000,000

• HF Eimskipafaleg Islands (John Heaphy and Manjit Virk) Worldwide refinancing with ABN Amro Bank NV and strategic advice €300,000,000

• An independent hospital group - name not disclosed (Philip Raven and Manjit Virk) £45,000,000

• ADLTE refinancing (John Heaphy and Manjit Virk) $180,000,000

Karl Jansen added: “So far the credit crunch has had little or no impact on the volume of transactions that we are seeing. However, the banks have become more cautious in their approach on syndicated transactions, and now talk to each other much earlier in the process to ensure that a deal is clubbed before completion takes place.”
